The ActionQI website located on www.actionqi.com (“Site”) are owned and operated by ActionQI from California, USA. Throughout the Site, the terms “we”, “us”, “company”, and “our” refer to ActionQI.

We offer the ActionQI Site including all information, products, and services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies, and notices stated here.

By visiting our site and/or purchasing any of our service, you (“User”) engage in our “Services” and agree to be bound by the following terms and conditions (“Terms”), including those additional terms and conditions and policies referenced herein and/or available by hyperlink.

These Terms and Conditions apply to all users of the Site including without limitation users who are browsers, customers, users, and/ or contributors of content.

• ActionQI helps individuals overcome and solve challenges they face in their everyday lives. ActionQI is an application available via the web which users subscribe to in order to gain access to Guides, improvement tools and an improvement community. The Guides and improvement tools are based on behaviour change research and utilize a step-by-step strategic approach with written tools for easy access and reference when needed. • Sole discretion. We reserve the right to add/discontinue any product or service anytime at the sole discretion and without notice. We also reserve the right to take appropriate steps to protect ActionQI and/or its Members/Users from any abuse/misuse as it deems appropriate in its sole discretion.

 

3. Permitted and Acceptable Use 

You agree to use the Site, and the Services only for purposes that are permitted by these Terms and Conditions and in compliance with all applicable laws, regulations, and generally accepted practices or guidelines in the relevant jurisdictions. You agree not to use the Site, or Services in any way that could damage the general business of ActionQI. You may only use the Services for your non-commercial, non-exclusive, non-assignable, non-transferable, and limited personal use, and no other purposes. Furthermore, you must refrain from engaging in, participating in, or contributing to the upload or dissemination of Objectionable Content or Behaviors, Prohibited Content, or engaging in Restricted Use of Services as defined in subsequent sections. These actions are strictly prohibited and are contrary to the intended purpose and ethical use of the Services.

 

Objectionable Content and Behaviors and Prohibited Actions

1. Definition of Objectionable Content:

Inappropriate Material: Content that includes, but is not limited to, nudity, pornography, graphic violence, hate speech, bullying, or any form of discrimination.

Illegal Activities: Any content promoting, depicting, or endorsing illegal activities, including but not limited to drug use, theft, and violence.

Intellectual Property Violations: Posting content that infringes on the copyrights, trademarks, or other intellectual property rights of others.

Misinformation: Deliberate dissemination of false information, including fake news, hoaxes, and conspiracy theories.

Misrepresentation: Engaging in the publication or distribution of content intended to deceive, including altered media, false claims, deceptive advertising, misleading descriptions, or fabricating facts.

 

1. Definition of Objectionable Behaviors:

Harassment and Bullying: Any form of intimidation, harassment, or bullying towards other members. This includes cyberbullying, stalking, and any behavior that intentionally causes distress.

Privacy Violations: Sharing private or confidential information of others without consent, including personal identification, financial records, and contact information.

False Identity or Affiliation or Impersonation: Creating a false identity, misrepresenting your affiliation with any individual or entity, or impersonating another individual with the intent to deceive or mislead.

Manipulative Behavior: Engaging in behaviors aimed at manipulating, exploiting, or deceiving other community members.

 

III. Definition Prohibited Actions and Content:

Harassment and Legal Rights Violations: Engaging in harassment, abuse, or threatening behavior, or any action that infringes upon the legal rights of others.

Intellectual Property Rights Infringement: Violating the intellectual property rights of us or any third party.

Malicious Software: Uploading or disseminating computer viruses or any software intended to damage or alter a computer system or data.

Fraudulent Activities: Engaging in fraud or deceptive practices.

Unlawful Gambling and Schemes: Participating in or promoting illegal gambling, sweepstakes, or pyramid schemes.

Obscene or Defamatory Material: Publishing or distributing any obscene or defamatory material.

Incitement of Violence or Hate: Distributing material that incites violence, hate, or discrimination against any group.

Unlawful Information Gathering: Unlawfully collecting or attempting to collect personal information about others.

Unpermitted Distribution: Reproducing, duplicating, copying, selling, trading, or reselling any aspect of our Services for any purpose.

 

1. Restricted Use of Services:

Legal and Lawful Use: Using the Services only for allowable legal and lawful purposes and not for any illicit activities.

Authorized Access: Accessing the Services solely through the provided interface and not through unauthorized means.

System Interference: Refraining from any activity that interferes with or impairs the functionality, security, or performance of our Services, networks, and computer systems.

Automated Access: Avoiding accessing the Services with automated means, including scripts or web crawlers, except as permitted.

Personal Information Collection: Not collecting personally identifiable information for unauthorized or commercial purposes.

Duplication and Resale: Not reproducing, duplicating, copying, selling, trading, or reselling any aspect of the Services or any products or services bearing trademarks, service marks, trade names, logos, or service marks owned by us in a manner likely to cause confusion.

 

1. Consequences of Violation:

Monitoring and Enforcement: Our platform will actively monitor for compliance with these terms. Violations will result in appropriate actions, including content removal, account suspension, or termination. We also rely on our community members to report violations.

Reporting Mechanism: Members are encouraged to report any violations using the provided tools.

Accountability: Members are responsible for their actions on the platform and must adhere to these terms to maintain a safe, respectful community.

 We may provide you with certain information as a result of your use of the Site including, but not limited to, documentation, data, or information developed by us, and other materials which may assist in the use of the Site, or Services (“Company Materials”). The Company Materials may not be used for any other purpose than the use of the Site, and the services offered. Nothing in these Terms of Use may be interpreted as granting any licence of intellectual property rights to you.

 

4. Interaction with other Members

You are solely responsible for your communications with other ActionQI Members. ActionQI reserves the right, but has no obligation, to monitor disputes between you and other Members. ActionQI also reserves the right to take appropriate action against errant members. However, ActionQI is not obliged to share such action with other members, including complainants. ActionQI expressly disclaims any responsibility or liability for any transactions or interactions between the members inter-se.

 

5. Limited License

We grant you a limited license to use the Services for personal non-commercial use only. You may not: (a) resell or make any commercial use of this Site or any of the contents of our Services; (b) modify, adapt, translate, reverse engineer, decompile, disassemble or convert any of the contents of the Services not intended to be so read; (c) copy, imitate, mirror, reproduce, distribute, publish, download, display, perform, post or transmit any of the contents of the Services in any form or by any means; or (d) use any data mining, bots, spiders, automated tools or similar data gathering and extraction methods on the contents of the Services or to collect any information from the Site, or any other user.

Your use of this Site is at your own risk. You agree that you will be personally responsible for your use of this Site. If we determine, in our sole discretion, that you engaged in prohibited activities, were not respectful of other users, or otherwise violated the Terms and Conditions, we may deny you access to our Services on a temporary or permanent basis and any decision to do so is final.

 

6. Accounts, Registrations, and Passwords

You are solely responsible for your Account and the maintenance, confidentiality and security of your Account and all passwords related to your Account, and any and all activities that occur under your Account, including restricting access to your computer and mobile/tablet and all activities of any persons who gain access to your Account with or without your permission.  

If you open an account, register, or otherwise provide us with any information, you agree to provide us with current, complete, and accurate information as requested by us from time to time and you agree to promptly notify us of any changes to this information as required to keep such information held by us current, complete and accurate ActionQI is not responsible for any errors or delays in responding to any inquiry or request caused by any incorrect, outdated, or incorrect information provided by you or any technical problems beyond the control of ActionQI.

You may not disclose the Password to another person or entity or permit another entity to access the Sites using such a Password. You must notify ActionQI immediately of any breach of security or unauthorised use of your account. ActionQI cannot be responsible and disclaims all liability in connection with, the use of any information that you post or display on the Site. Multiple profiles of the same person are not allowed on the Site.

 

7. Membership Fees, Refunds and Cancellation 

i. We offer a Membership service as well as the sale of products that work together to enhance your growth. All fees and associated cost are charged before you can access our products and services.

ii. The Membership Fee, price of tools, products and services, and payment terms will be displayed to you on the Site before you sign up for the Services. We may change the Membership Fee at any time, but we will provide you with advance notice of any such changes.

iii. When you make a purchase on the Site, you agree to provide a valid instrument to make a payment. Pay attention to the details of the transaction, as your total price may include taxes, fees, and shipping costs, all of which you are responsible for.

iv. When you use a payment instrument for any transaction with us, you confirm that you are permitted to use that payment instrument. When you make a payment, you authorize us (and our designated payment processor) to charge the full amount on the payment instrument you designate for the transaction.

v. All payments, whether by credit or debit cards, are processed through our third party processor Stripe payments. They store and encrypt your data through the Payment Card Industry Data Security Standard (PCI-DSS). Your purchase transaction data is stored only as long as is necessary to complete your purchase transaction. After that is complete, your purchase transaction information is deleted.

vi. All direct payment gateways adhere to the standards set by PCI-DSS as managed by the PCI Security Standards Council, which is a joint effort of brands like Visa, MasterCard, American Express and Discover.

vii. PCI-DSS requirements help ensure the secure handling of credit card information by our store and its service providers.

ix. We may cancel any transaction if we believe the transaction violates these Terms, or if we believe in doing so may prevent financial loss.

x. Payment for any ongoing services is billed automatically until notification that you would like to terminate your access to the services

xi. Your membership will automatically renew on a monthly or annual basis, depending on the membership plan you choose, unless you cancel your membership prior to the next renewal date. You will be charged the Membership Fee for each renewal period, and the renewal period will be the same as the original membership period.

xii. You may cancel your membership at any time by going to the account settings on the Site or by contacting customer support. If you cancel your membership, you will continue to have access to the Services through the end of your current membership period, and your membership will not renew.

xiii. We do not provide refunds for any Membership Fees, or cost of refundable tools, products, or services after 14 days after payment confirmation, except in the case of technical issues with the Site, or the Services that are beyond your control.

xiv. User may cancel at any time which will stop future renewal, but user will retain access until the end of the current paid period.

 

8. Sale of Products, Goods, and Services

We may sell products, goods, or services or allow third parties to sell products, goods, or services on the Site. We undertake to be as accurate as possible with all information regarding the goods and services, including product descriptions and images. However, we do not guarantee the accuracy or reliability of any product information and you acknowledge and agree that you purchase such products at your own risk. For products, goods, or services sold by others, we assume no liability for any product and cannot make any warranties about the merchantability, fitness, quality, safety or legality of these products. For any claim you may have against the manufacturer or seller of the product, you agree to pursue that claim directly with the manufacturer or seller and not with us. You agree to release us from any claims related to goods or services manufactured or sold by third parties, including any and all warranties or product liability claims.

If you are unhappy with a service being sold on our Site, you may request a refund.

 

9. Intellectual Property Rights

Your use of the Site, and its contents grants no rights to you concerning any copyright, designs, and trademarks and all other intellectual property and material rights mentioned, displayed, or relating to the Content (defined below) on the Site.  All Content on the Site (except for User Generated Content, as defined below), including third party trademarks, designs, and related intellectual property rights mentioned or displayed on this Site, are protected by American intellectual property and other laws.  All rights reserved. Any unauthorised reproduction, redistribution or other use of the Content is prohibited and may result in civil and criminal penalties. In addition to the intellectual property rights mentioned above, “Content” is defined as any graphics, software, code, designs, photographs, including all image rights, sounds, music, videos, audio, text, applications, interactive features, and all other related collective work on the Site.

 

10. User Generated Content

“User Generated Content” is communications, materials, information, data, opinions, photos, profiles, messages, notes, website links, text information, music, videos, designs, graphics, sounds, and any other content that you and/or other Site users post or otherwise make available on or through the Site, except to the extent the content is owned by us.

 

11. Digital Millennium Copyright Act

ActionQI expects all users to respect the intellectual property rights of others. ActionQI may remove material that appears in its sole discretion to infringe upon the intellectual property rights of others, and we will terminate the access rights of any repeat infringer. If you are a copyright owner or an agent thereof and believe that any Content infringes upon your copyrights, you may notify us at contact@actionqi.com.  The notification must include the following information: physical or electronic signature of the owner or authorized agent of the owner of the allegedly infringed work; identification of the allegedly infringed work; identification of the material that is claimed to be infringing and reasonably sufficient information for ActionQI to locate the material; contact information of the notifying party, such as an address, telephone number, and email; a statement that the notifying party has a good faith belief that the use of the material in the manner complained of is not authorized by the owner of the allegedly infringed work, its agent or the law; and a statement, under penalty of perjury that the information in the notification is accurate and the notifying party is the owner or authorized agent of the allegedly infringed work.

 

12. Monitoring Activity

ActionQI has no obligation to monitor this Site or any portion thereof. However, we reserve the right to review any posted content and remove, delete, redact or otherwise modify such content, in our sole discretion, at any time and from time to time, without notice or further obligation to you.

 

13. Disclaimer

TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, ACTIONQI EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES AND REPRESENTATIONS, EXPRESS OR IMPLIED, INCLUDING ANY (A) WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OR USE AS TO THE SITE, AND ITS CONTENT, INCLUDING THE INFORMATION, DATA, SOFTWARE, OR PRODUCTS CONTAINED THEREIN, OR THE RESULTS OBTAINED BY THEIR USE OR AS TO THE PERFORMANCE THEREOF, (B) WARRANTIES OR CONDITIONS ARISING THROUGH COURSE OF DEALING, AND (C) WARRANTIES OR CONDITIONS OF UNINTERRUPTED OR ERROR-FREE ACCESS OR USE. THE SITE AND ALL CONTENTS THEREIN AND COMPONENTS THEREOF ARE PROVIDED ON AN “AS IS” BASIS AND YOUR USE OF THE SITE IS AT YOUR OWN RISK.

 

14. Assumption of Risk

The Site, and Services provided is for communication purposes only. You acknowledge and agree that any information posted is not intended to be legal advice, medical advice, or financial advice, and no fiduciary relationship has been created between you and ActionQI. You further agree that your purchase of any of the products on the Site is at your own risk. We do not assume responsibility or liability for any advice or other information given on the Site.

 

15. Limitation of Liability

You agree that in no event shall ActionQI be liable to you, or any third party, for any lost profits, incidental, consequential, punitive, special, or indirect damages arising out of or in connection with the Site or the Terms and Conditions, even if advised as to the possibility of such damages, regardless of whether the claim for such damages is based in contract, tort, strict liability or otherwise. This limitation on liability includes, but is not limited to, any (I) errors, mistakes, or inaccuracies in any Content or for any loss or damage of any kind incurred by you as a result of your use of or reliance on the Content; (ii) the transmission of any bugs, viruses, Trojan horses or the like which may infect your equipment, failure of mechanical or electronic equipment; (iii) unauthorised access to or use of the Sites secure servers and/or any personal information and/or financial information stored therein; or (iv) theft, operator errors, strikes or other labour problems or any force majeure. You agree that you use the Site and/or any Third-Party Sites at your own risk.

We are not liable for any damages that may occur to you as a result of your use of our Services, to the fullest extent permitted by law. The maximum liability of ActionQI arising from your use of our Services is limited to the lesser of twenty-five ($25.00) United States Dollars or the amount you paid to ActionQI in the last twelve (12) months. This applies to any and all claims by you, including, but not limited to, lost profits or revenues, consequential or punitive damages, negligence, strict liability, fraud, or torts of any kind.

You further understand and agree that we are not responsible or liable for your illegal, unauthorized, or improper use of information transmitted, monitored, stored or received using the Site. 

 

16. Data Loss

We are not responsible for the security of your Account or Content. Your use of the Site is at your own risk.

 

17. Reverse Engineering & Security

You may not undertake any of the following actions:

• Reverse engineer, or attempt to reverse engineer or disassemble any code or software from or on the Site;
• Violate the security of the Site through any unauthorized access, circumvention of encryption or other security tools, data mining or interference to any host, user or network.

 

18. Indemnification

You agree to indemnify and hold ActionQI and its subsidiaries, affiliates, officers, directors, agents, and employees, harmless from and against any suit, action, claim, demand, penalty or loss, including reasonable attorneys’ fees, made by or resulting from any third party due to or arising out of your use of our Services, breach of the Terms and Conditions or the materials it incorporates by reference, or your violation of any law, regulation, order or other legal mandates, or the rights of a third party. We will select our own legal counsel and may participate in our own defence, if we wish to so.

 

19. Spam Policy

You are strictly prohibited from using the Site or any of our services for illegal spam activities, including gathering email addresses and personal information from others or sending any mass commercial emails.

 

20. Third-Party Links & Content

We may occasionally post links to third party websites or other services. We are not responsible or liable for any loss or damage caused as a result of your use of any third party services linked to from our Site.

 

21. Dispute Resolution & Governing Laws

In the event of a dispute arising out of or in connection with these terms or any contract between you and us, then you agree to attempt to settle the dispute by engaging in good faith with us in a process of mediation before commencing arbitration or litigation.

These Terms shall be governed by and construed in accordance with the laws of the country and Province where the company is headquartered, without giving effect to any principles of conflicts of law.

 

22. Variation

To the extent any part or sub-part of these Terms and Conditions is held ineffective or invalid by any court of law, the prior, effective version of these Terms and Conditions be considered enforceable and valid to the fullest extent.

 

23. Children

Our Service does not address anyone under the age of 18 (“Children”). We do not knowingly collect personally identifiable information from anyone under the age of 18. If you are a parent or guardian and you are aware that your Child has provided us with Personal Data, please contact us. If we become aware that we have collected Personal Data from children without verification of parental consent, we will take steps to remove that information from our servers.

25. Deleting Data And Information

Users on the Site can delete their Account. Once an account is deleted, we will erase ALL data of the User associated with their account including messages, their connections, and their personal information. The process cannot be undone once the user proceeds with the deletion of data. We will no longer store the data of that user after deletion.

 

26. Changes

We reserve the right to update and revise these Terms and Conditions at any time. You will know if these Terms and Conditions have been revised since your last visit to the Site by referring to the “Effective Date of Current Policy” date at the top of this page. Your use of our Site constitutes your acceptance of these Terms and Conditions as amended or revised by us from time to time, and you should, therefore, review these Terms and Conditions regularly.

 

27. Service Interruptions

We may need to interrupt your access to the Site to perform maintenance or emergency services on a scheduled or unscheduled basis. You agree that your access to the Site may be affected by unanticipated or unscheduled downtime, for any reason, but that we will have no liability for any damage or loss caused as a result of such downtime.

You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communication is in writing.

If any of these Terms and Conditions shall be deemed invalid, void, or for any reason unenforceable, that term shall be deemed severable and shall not affect the validity and enforceability of any remaining terms or conditions.

 

30. Assignment

We shall be permitted to assign, transfer, or subcontract our rights and obligations under these terms without your consent or any notice to you. You shall not be permitted to assign, transfer, or subcontract any of your rights and obligations under this agreement.

 

31. Force Majeure

ActionQI is not liable for any delays caused by circumstances beyond ActionQI’s control, e.g. general labour dispute, extreme weather, acts of war, fire, lightning, terrorist attacks, changed governmental orders, technical problems, defects in power- /tele-/computer communications or other communication and defects or delays in the service by sub-suppliers due to circumstances set forth above. Such circumstances shall result in relief from damages and other measures. If any such situation should arise, ActionQI shall inform the Customer accordingly both at the beginning and the end of the period for the current situation. If the situation has lasted for more than two months, both the Customer and ActionQI are entitled to terminate the purchase with immediate effect.

 

32. Entire Agreement

These Terms and Conditions set forth the entire understanding and agreement between you and ActionQI concerning the subject matter herein and supers all prior or contemporaneous communications and proposals, whether electronic, oral or written concerning the Site. A printed version of these Terms and Conditions and any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to these Terms and Conditions to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. Any rights not expressly granted herein are reserved. You may not assign the Terms and Conditions, or assign, transfer or sublicense your rights therein. A failure to act concerning a breach by you or others does not waive ActionQI’s right to act concerning subsequent or similar breaches.

 

33. Relationship

No agency, partnership, joint venture or employment relationship is created as a result of these Terms and neither of us has any authority of any kind to bind the other in any respect.

 

34. Violation and Termination

Any conduct that in any way violates these Terms or any posted restrictions or guidelines may result, in our sole discretion, in the termination of your license and right to utilize the Services to access Content or for any other purpose, and/or our pursuit of any legal damages or remedies. If necessary, or as authorized under applicable law, we may cooperate with local, provincial, state and/or federal authorities to protect the Site, the Services, the Content, ActionQI, its Affiliates, Licensors, members, employees, agents and/or visitors; to comply with applicable laws; or to prevent unauthorized access or use of the Services or the Content. We retain the right to deny access to the Services, in our sole discretion, to any visitor/user for any reason, including for any violation of these Terms.
